General Terms and Conditions of Sale (GTC)

ProjeQtOr is a free and open-source project management software application distributed by ProjeQtOr under the AGPL v3 license.

These General Terms and Conditions of Sale (“GTC”) govern the contractual relationship between PROJEQTOR SAS (hereinafter the “Company”) and its customers (hereinafter the “Customer”) for the provision of services and professional support related to the ProjeQtOr software.

By subscribing to our services, the Customer acknowledges having read these GTC and accepts them without reservation.

1. Publisher and Service Provider

A simplified joint-stock company (SAS) chaired by the principal designer and lead developer of ProjeQtOr.

2. Purpose

The Company provides professional services related to ProjeQtOr, a free and open-source project management software:

  • SaaS hosting to provide access to a ready-to-use operational instance without technical constraints.
  • Professional support to ensure operational maintenance.
  • Subscription to fixes/patches to receive ongoing bug corrections.
  • Participation in the User Qlub to contribute to the product roadmap.
  • On-site or remote assistance to support software adoption.
  • On-site or remote training to accelerate skills acquisition for ProjeQtOr usage and administration.
  • On-demand evolutions to adapt the software to specific needs.
  • Provision of plug-ins for customization or specific requirements (translations, screen customization, etc.).

3. Prices and Payment Terms

  • Prices are indicated excluding taxes (ex VAT) and should be subject to applicable VAT according to current legislation.
  • Invoicing is carried out according to the agreed terms: accepted quotation, advance payment, or monthly billing for recurring services.
  • Payments may be made by bank transfer or any other method accepted by the Company.

4. Orders and Contract Formation

  • An order is deemed firm and final upon the Customer’s written acceptance of the quotation (sig,ed quotation) or reception of order from the Customer.
  • The Company reserves the right to refuse an order in the event it is not aligned with its activities or for any legitimate reason.

5. Delivery and Performance of Services

  • For subscription services (hosting, support, simple subscription), access is provided on reception of the order, with delay less than 48h.
  • For one-off services (assistance, training, evolution), services are scheduled based on mutual availability.
  • Delivery timelines are provided for information purposes only and do not constitute a binding commitment unless otherwise specified in the quotation.

6. Customer Obligations

The Customer agrees to:

  • Provide all information necessary to perform the services.
  • Comply with the security and usage instructions for the software.
  • Pay all amounts due within the agreed deadlines.

7. Intellectual Property

  • The ProjeQtOr software is open-source and free of charge for any user, in accordance with its license.
  • ProjeQtOr retains ownership of the software and the result of all specific services performed (developments, plug-ins).

8. Liability

  • The Company uses all reasonable efforts to ensure the quality of its services.
  • However, the Company cannot be held liable for:
    • interruptions or malfunctions related to the open-source ProjeQtOr software
    • indirect damages, data loss, or any prejudice resulting from the use of the software or services,
    • failure to meet deadlines in the event of force majeure or circumstances beyond its control.

9. Personal Data

Personal data collected within the scope of the services is processed in accordance with the Company’s Privacy Policy.
